These terms apply to purchases from SemDev by consumers and business customers. Mandatory consumer rights always prevail over any conflicting clause.
1. Seller and scope
The seller is [LEGAL_NAME], trading as SemDev, with the details shown in the Legal Notice. Product-specific terms, compatibility information and selected paid options form part of the contract.
2. Product information and compatibility
Before ordering, the customer must review the main characteristics, supported PrestaShop/PHP versions, dependencies, licence scope, price, included update/support period and any material limitations shown on the product page. SemDev will not exclude statutory remedies where supplied digital content is not in conformity with the contract.
3. Orders and contract formation
Products placed in the cart can be reviewed and corrected before submission. The final order button must clearly indicate that the order creates an obligation to pay. A contract is formed when SemDev accepts the order and sends confirmation on a durable medium such as email or the customer account. We may reject an order for legitimate reasons, including failed payment, obvious pricing error, suspected fraud or inability to perform a requested service.
4. Prices, taxes and additional charges
The total payable price, applicable taxes and any additional charges are shown before the order is placed. No optional paid item will be added through a pre-ticked box. VAT treatment depends on the customer type, location and applicable tax rules. Where a valid business VAT number affects tax treatment, the customer is responsible for providing accurate information.
5. Payment
Available payment methods are displayed at checkout. Payment may be processed by independent payment service providers. SemDev may use proportionate anti-fraud checks. Failed or reversed payments may suspend access until resolved.
6. Digital delivery and services
Digital products are supplied as described in the Digital Delivery page. Services are performed according to the agreed scope. The customer must provide timely, lawful and sufficient access, backups, credentials and information reasonably required for the work. Credentials should be limited to the minimum access necessary and revoked when no longer needed.
7. Consumer right of withdrawal
Consumers generally have 14 days to withdraw from distance contracts. For digital content not supplied on a tangible medium, the right may be lost once supply begins only where the consumer has expressly consented to immediate performance, acknowledged the loss of the right and receives the required confirmation. For services started during the withdrawal period at the consumer's express request, the consumer may owe a proportionate amount for work already performed; after complete performance the right may be lost where the legal conditions are met. See the Withdrawal and refunds page.
8. Legal conformity rights
Consumers retain all mandatory rights for digital content and digital services, including remedies where the product is faulty, not as described or otherwise not in conformity. Commercial support or update periods do not replace or shorten statutory rights.
9. Licence and permitted use
Unless the product page or a separate licence says otherwise, the purchase grants a non-exclusive, non-transferable right to use the module for the customer's own store or project within the licence scope shown at purchase. Resale, redistribution, publication, sublicensing, removing rights-management notices or providing the module as a competing standalone product is prohibited except where mandatory law or an open-source licence expressly permits it.
10. Updates and support
Commercial updates and support are provided for the period stated on the product page or selected option. Support covers the scope described with the product; custom development, third-party conflicts, store-specific modifications or work outside that scope may require a separate quote. Security or conformity updates required by mandatory law are not limited by a shorter commercial support promise.
11. Customer modifications and third-party software
Modifying source code may affect support where the modification causes the issue. SemDev is not responsible for third-party modules, themes, hosting or APIs, but this does not exclude liability where SemDev is legally responsible for integration or conformity under the contract.
12. Liability
Nothing in these terms excludes liability that cannot legally be excluded, including mandatory consumer rights. For business customers only, and to the extent permitted by law, liability for indirect or consequential business loss may be limited by the applicable contract. Customers should maintain current backups before installation or development work.
13. Complaints
Send complaints to [SUPPORT_EMAIL] with the order number and a clear description of the issue. We will respond within a reasonable period. Applicable statutory dispute-resolution rights remain available.
14. Governing law
The contract is governed by the law of [COUNTRY], without depriving a consumer of mandatory protections granted by the law that would apply in the consumer's country of habitual residence. Jurisdiction is determined by applicable law.
15. Changes and severability
The version accepted at the time of an order governs that order. Future changes do not retroactively alter existing contracts unless required by law or agreed with the customer. If one clause is invalid, the remaining clauses remain effective to the extent legally possible.
